These Terms of Service (“Terms”) govern access to and use of ScaleAgentic’s websites, applications, products, integrations, and services, including Scout. These Terms are between ScaleAgentic, Inc. (“ScaleAgentic,” “we,” “us,” or “our”) and the person or organization accessing or using the services (“Customer,” “you,” or “your”).
By using ScaleAgentic, you agree to these Terms.
1. Our Services
ScaleAgentic provides software and services that help revenue teams research accounts, analyze go-to-market context, generate workflows, summarize business information, and support sales, marketing, and customer-facing operations.
ScaleAgentic may include integrations with third-party services such as Google Workspace, CRM systems, communication tools, data providers, and other business applications.
2. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
If you access ScaleAgentic on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You agree to provide accurate account information and to keep it current.
3. Customer Data
“Customer Data” means information, files, documents, account lists, CRM data, business data, instructions, prompts, outputs, and other materials submitted to or processed through the service by or on behalf of you or your organization.
You retain ownership of Customer Data.
You grant ScaleAgentic a limited right to use Customer Data only as necessary to provide, secure, support, and improve the services, comply with law, and enforce these Terms.
You are responsible for ensuring that you have the necessary rights and permissions to submit Customer Data to ScaleAgentic.
4. Google and Third-Party Integrations
If you connect ScaleAgentic to Google Workspace, Gmail, Google Calendar, Google Drive, or another third-party service, you authorize ScaleAgentic to access and process the information permitted by that integration.
ScaleAgentic will use Google user data only as described in our Privacy Policy and in accordance with the Google API Services User Data Policy, including the Limited Use requirements.
Third-party services are governed by their own terms and privacy policies. ScaleAgentic is not responsible for third-party services, their availability, or their handling of data.
5. AI-Generated Outputs
ScaleAgentic may use artificial intelligence systems to generate research, summaries, recommendations, workflows, messages, and other outputs.
AI-generated outputs may be incomplete, inaccurate, outdated, or inappropriate for your specific situation. You are responsible for reviewing and validating outputs before relying on them or using them in business decisions.
ScaleAgentic does not provide legal, financial, investment, tax, employment, compliance, or professional advice.
6. Acceptable Use
You agree not to use ScaleAgentic to:
Violate laws, regulations, contracts, or third-party rights
Upload or process data you do not have the right to use
Send spam, deceptive messages, or unlawful communications
Scrape, reverse engineer, attack, disrupt, or overload the service
Attempt to bypass usage limits, security controls, or access restrictions
Use the service to develop a competing product through unauthorized copying or benchmarking
Use the service for surveillance, unlawful discrimination, or other harmful purposes
Submit malware, harmful code, or intentionally misleading instructions
We may suspend or terminate access if we believe your use violates these Terms or creates risk to ScaleAgentic, users, third parties, or the service.
7. Fees and Payment
If you purchase paid services, you agree to pay all fees described in the applicable order form, statement of work, invoice, or written agreement.
Unless otherwise stated, fees are non-refundable and payable in U.S. dollars.
You are responsible for applicable taxes, excluding taxes based on ScaleAgentic’s net income.
If payment is overdue, ScaleAgentic may suspend access after reasonable notice.
8. Confidentiality
Each party may receive confidential or proprietary information from the other party.
The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care.
Confidential information does not include information that is public, already known without confidentiality restrictions, independently developed, or lawfully received from a third party.
9. Intellectual Property
ScaleAgentic owns the service, software, technology, models, workflows, templates, designs, documentation, and related intellectual property.
You own your Customer Data.
Subject to your compliance with these Terms, ScaleAgentic grants you a limited, non-exclusive, non-transferable right to use the service during the applicable subscription or engagement period.
No rights are granted except as expressly stated in these Terms.
10. Feedback
If you provide feedback, suggestions, or ideas about ScaleAgentic, you grant ScaleAgentic the right to use that feedback without restriction or compensation.
11. Beta Features
ScaleAgentic may offer beta, pilot, preview, or experimental features. These features may be incomplete, changed, suspended, or discontinued at any time.
Beta features are provided “as is” and may be subject to additional limitations.
12. Suspension and Termination
You may stop using the service at any time.
ScaleAgentic may suspend or terminate access if you violate these Terms, fail to pay fees, create security or legal risk, or misuse the service.
Upon termination, your right to use the service ends. Certain provisions, including confidentiality, payment obligations, intellectual property, disclaimers, limitations of liability, and dispute terms, will survive termination.
13. Disclaimers
The service is provided “as is” and “as available.”
To the fullest extent permitted by law, ScaleAgentic disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
ScaleAgentic does not guarantee that the service will be uninterrupted, error-free, secure, or that outputs will be accurate or complete.
14. Limitation of Liability
To the fullest extent permitted by law, ScaleAgentic will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost goodwill, lost data, or business interruption.
To the fullest extent permitted by law, ScaleAgentic’s total liability for any claim arising out of or relating to the service or these Terms will not exceed the amount paid by Customer to ScaleAgentic in the three months before the event giving rise to the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless ScaleAgentic from claims, damages, liabilities, costs, and expenses arising from your misuse of the service, violation of these Terms, violation of law, or Customer Data submitted without proper rights or permissions.
16. Changes to the Service or Terms
We may update the service and these Terms from time to time.
If we make material changes to these Terms, we will provide notice as required by applicable law. Continued use of the service after changes become effective means you accept the updated Terms.
17. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
The parties agree to resolve disputes in the state or federal courts located in Delaware, unless another written agreement between the parties states otherwise.
